Corporate Formation & Board Governance
Paulette assists clients with:
- Establishing corporations, LLCs, and other business entities and preparing organizational documents.
- Drafting and revising operating agreements, bylaws, organizational consents, and other formation documents.
- Structuring the admission of investors, advisors, and employees and documenting equity grants and ownership interests.
- Advising on parent-subsidiary relationships and intercompany arrangements.
Strategic and Growth Support
She also works with companies on the business and legal considerations involved in growth, including strategies for fundraising, attracting investors and identifying new revenue streams, and developing relationships with healthcare payors and other strategic partners.
For healthcare businesses in particular, she helps connect business objectives with the legal and regulatory framework necessary to pursue those opportunities.
Board Governance
She provides ongoing support to boards and management, including:
- Preparing Board resolutions, written consents, and other materials for Board approval.
- Developing Board agendas and supporting Board meetings.
- Serving as corporate Secretary or providing Secretary-related support.
- Advising Boards and management on governance responsibilities and emerging legal and compliance issues.
- Developing governance processes appropriate for the company’s size, ownership structure, and stage of growth.
Board Training and Compliance
She provides Board training on emerging and “hot topic” compliance issues relevant to the organization and its industry. She also drafts and updates documents for Board consideration and approval, including Codes of Conduct, conflict-of-interest policies, compliance policies, and other corporate governance policies.
The goal is to help companies build a governance structure that supports growth while providing the Board and management with the tools they need to make informed decisions, oversee risk, and meet their legal and fiduciary responsibilities.
